These Terms of Service (“Terms”) govern your use of the products, technologies, consulting engagements, and related offerings provided by Apex AI Services Inc. (“Apex AI”, “we”, “us”, or “our”). By accessing or using our website or services, you agree to comply with and be bound by these Terms. If you do not agree, you may not use our services.

1. Use of Services

Our services are intended for professional and business use. You agree to use the services in compliance with all applicable laws and not for unlawful, fraudulent, or harmful purposes. You are responsible for the accuracy and legality of any data or information you provide.

2. Client Responsibilities

You represent that you have the authority to provide any data, materials, or instructions shared with Apex AI. You agree that oversight, validation, and decision-making based on deliverables—including AI-generated outputs—remain solely your responsibility.

3. AI-Generated Outputs

Some services involve the use of artificial intelligence systems. AI-generated content may contain inaccuracies, omissions, or unintended results. Apex AI makes no warranty regarding the accuracy, completeness, or suitability of such outputs. You agree to independently review and validate AI-generated information before relying on it.

4. Data Security & HIPAA Alignment

Apex AI maintains administrative, technical, and physical safeguards aligned with industry standards, including controls designed to support compliance with HIPAA Security Rule requirements where applicable. While we take reasonable measures to protect sensitive information, no system can guarantee absolute security.

5. Confidentiality

Both parties may exchange confidential information during the course of providing services. Confidential information will not be disclosed to third parties unless required by law or with written permission. These obligations survive termination of any service agreement.

6. Intellectual Property

Apex AI retains ownership of its intellectual property, including but not limited to software, tools, models, algorithms, processes, and methodologies. Unless explicitly stated in writing, no ownership rights are transferred. Deliverables may be used solely for the business purposes for which they were provided.

7. Fees, Billing & Payment

Fees are defined in applicable proposals, contracts, or invoices. All fees are non-refundable unless stated otherwise. You agree to pay invoices in accordance with stated payment terms and remain responsible for any applicable taxes or surcharges.

8. Mobile Messaging (A2P SMS Compliance)

By providing your mobile number to Apex AI, you consent to receive SMS or MMS messages from us, including service updates, alerts, notifications, scheduling messages, and promotional messages where permitted. Message frequency varies. Message and data rates may apply.

You may opt out of text messaging at any time by replying STOP to any message. For help or support, reply HELP or contact us at contact@getapex.co. Your mobile number will not be sold or shared with third parties for marketing purposes. It will be used exclusively for communications related to our services and interactions initiated by you.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Apex AI is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or lost data. Our total aggregate liability for any claim arising from or related to the services will not exceed the total amount paid to Apex AI in the three months preceding the claim.

10. Termination

Either party may terminate a service agreement according to its terms. Apex AI may suspend or terminate access to services if misuse, unauthorized activity, or violation of these Terms is detected.

11. Governing Framework

These Terms are interpreted according to the laws applicable to the region in which Apex AI operates, without requiring detailed jurisdictional identification except where legally necessary. These Terms do not limit rights that cannot be restricted under applicable Canadian or U.S. laws.

12. Changes to These Terms

Apex AI may update these Terms periodically. Updates take effect when posted. Continued use of the services following modifications constitutes acceptance of the revised Terms.
